Provides legal advice, including direction on transactional matters, and other general legal issues. Assists more senior level attorneys in the provision of legal advice to in-house clients, litigation, transactions and other legal matters. Reviews legal publications and pending legislation and advises management of changes that impact CoBank. Executes smaller, less complex tasks delegated by more senior level attorneys and may represent CoBank in negotiations.Essential FunctionsSupports and participates in the documentation of commercial loan transactions. Consults with and advises relationship managers and other associates concerning these transactions.Provides legal services, legal counsel, guidance, recommendations, and proactive advice, in consultation with his/her supervisor, on legal issues to assigned individual banking groups/divisions/management.Conducts legal research and issues legal opinions.With respect to transactional matters, prepares, reviews, negotiates and/or interprets various legal instruments and documents of all types such as contracts, confidentiality agreements, leases, loan agreements, collateral documents, organizational documents and other agreements.Reviews and analyzes loan or lease and collateral documentation and drafts legal audits memoranda for assigned individual banking groups;Reviews paralegal work on various matters, including signatory authority reviews, collateral summaries and title insurance issues.EducationJD From an approved law school requiredAdmission in state bar requiredWork Experience2 years of experience representing lenders and borrowers in negotiating, documenting, and closing a wide range of commercial financing transactions required or1 year of CoBank Legal Residency experience requiredKnowledge of other areas of law related to transactions (e.g., environmental law)Basic knowledge of the laws and regulations affecting the Farm Credit SystemBasic knowledge of corporate and commercial law in the context of commercial loan transactions, including real estate and personal property collateral, participations, and syndications.Physical Exertion DetailsSedentary Exerting up to 10 pounds of force occasionally (Occasionally: activity or condition exists up to 1/3 of the time) and/or a negligible amount of force frequently (Frequently: activity or condition exists from 1/3 to 2/3 of the time) to lift, carry, push, pull, or otherwise move objects, including the human body. Compensation may vary based on individual job-related knowledge, skills, expertise, and experience. This position is eligible for a discretionary annual incentive program driven by organization and individual performance.
