About this role
Responsibilities:
- Advise companies on a broad range of corporate and transactional matters.
- Support and lead corporate transactions from initial structuring through closing.
- Draft, review, and negotiate corporate and commercial agreements.
- Advise clients on corporate governance and general corporate matters.
- Work on venture financings, equity transactions, and related documentation.
- Support mergers, acquisitions, and other strategic transactions.
- Manage due diligence and transaction documentation.
- Work directly with clients, executives, founders, investors, and other stakeholders.
- Coordinate with senior attorneys and other specialists on complex matters.
- Take increasing ownership of client relationships and transactions.
Requirements:
- 3–7 years of professional legal experience.
- Experience in corporate law and transactional matters.
- Experience with one or more of the following is particularly valuable: corporate transactions, venture capital and emerging companies, mergers & acquisitions, corporate governance, equity financings, and commercial agreements.
- Strong legal drafting, negotiation, and analytical skills.
- Excellent written and verbal communication skills.
- Ability to manage multiple matters and work directly with clients.
- J.D. from an accredited U.S. law school.
- Admission to a U.S. state bar.
