About this role

Summary:

We are seeking a motivated Corporate Corporate Associate Attorney

Candidates with 3-10 years of relevant transactional experience are especially encouraged to apply, although we welcome applications from newly licensed attorneys and other candidates who demonstrate strong potential and an interest in transactional law.

Duties and Responsibilities:

Advise clients on corporate and business law matters, including entity formation, governance, business structuring, and compliance.

Draft, review, and negotiate corporate and commercial agreements, including operating agreements, purchase and sale agreements, and other business contracts.

Assist with mergers, acquisitions, business purchases and sales, and other corporate transactions.

Represent clients in commercial real estate transactions, including acquisitions, sales, leasing, and financing.

Conduct legal due diligence for corporate and real estate transactions and identify potential risks.

Coordinate with lenders, title companies, brokers, accountants, opposing counsel, and other third parties to facilitate transactions and closings.

Provide practical, business-focused legal advice and maintain strong client relationships.

Manage matters and deadlines independently while collaborating with attorneys, paralegals, and support staff.

Maintain accurate and organized electronic matter files and documentation.

Perform other duties as assigned.

Billable Expectations & Bonus:

Annual billable hour requirement: 1,400 hours

Eligible for a performance-based bonus upon meeting billable requirements

Qualifications:

Juris Doctor (JD) from an accredited law school

Licensed and in good standing with the Colorado Bar (or eligible for admission)

1-3+ years of relevant experience

Strong drafting skills

Interpersonal, negotiation, and communication skills

Physical Requirements:

Ability to sit for extended periods

Ability to work at a computer for prolonged periods

Final compensation will be determined based on experience, skills, and qualifications.
